1. Introduction

These Terms of Use ("Terms") set out the rules for using the website at zenvorika.com and any pages, tools and content published on it (together, the "Website"). In these Terms, "Zenvorika", "we", "us" and "our" refer to the operator of the Website, and "you" and "your" refer to any person who visits or uses it.

By accessing or using the Website you confirm that you have read these Terms and agree to be bound by them. If you do not agree, please do not use the Website. These Terms should be read together with our Privacy Policy, our Cookie Policy and our Risk Disclosure, each of which forms part of the terms on which the Website is made available.

We have written these Terms in plain language where we can. Headings are included for convenience only and do not affect how the Terms are interpreted.

2. What the service offers today

Zenvorika is a digital asset exchange that has not yet opened real-money trading. The following statements apply and take priority over anything else on the Website that might suggest otherwise:

Accounts are open. You can register a Zenvorika account. At this stage an account gives you access to the practice account on the trading terminal. See section 5.
No real funds or assets are accepted. Real-money trading is not offered. We do not accept deposits of money or digital assets, we do not process withdrawals, and we do not execute real orders on any market.
Market data comes from a third party. Prices, charts and order books are live market data from Binance's public market-data API, not from Zenvorika. See section 6.
Practice trading uses virtual funds. Balances and orders in the practice account are virtual, have no monetary value and involve no real assets. See section 7.

Features, supported assets, fees and product descriptions shown on the Website describe what we intend to offer. They are subject to change and may differ, or not be offered at all, if real-money trading is introduced. Nothing on the Website is an offer to provide any financial or trading service at this time.

3. Eligibility

You may browse the Website, register an account and use the practice account if you are old enough to enter into a binding agreement where you live, and in any event at least 18 years of age. By using the Website you confirm that you meet this requirement.

We do not collect identity verification to open an account at this stage. If real-money services are introduced, access to them will depend on additional eligibility requirements, which are expected to include identity verification, checks on where you reside and screening against applicable restrictions. Some features may not be available in every region. Those requirements will be set out in a separate user agreement before any such service is offered.

You must not use the Website if doing so would breach any law or regulation that applies to you. You are responsible for ensuring that your access to the Website is lawful in the place from which you access it.

4. The waitlist

The home page invites visitors to join a waitlist by submitting an email address, which we store so that we can tell you when new features, such as real-money trading, become available. Joining the waitlist does not create an account, does not reserve anything for you, and does not give you any right to access future services, preferential terms or any other benefit.

How we handle waitlist addresses, and how to have yours removed, is described in our Privacy Policy. Access to any future real-money service will remain subject to eligibility checks and the user agreement that applies at that time.

5. Your Zenvorika account

You can register a Zenvorika account with an email address and a password. An account currently gives you access to the practice account on the trading terminal, with your practice activity saved between visits. It does not hold real money or digital assets. By registering, you agree to:

provide an email address that belongs to you and keep it up to date;
open only one account, in your own name, and not register on behalf of another person;
choose a strong password, keep your sign-in details secure and confidential, and not share your account with anyone else;
tell us promptly at legal@zenvorika.com if you suspect someone else has accessed your account; and
take responsibility for activity carried out through your account.

We may suspend or close an account, or limit its use, if we reasonably believe it is being misused, has been registered with false details, duplicates another account or breaches these Terms. You can ask us to delete your account at any time by writing to privacy@zenvorika.com.

If real-money services are introduced, they will be governed by a separate user agreement which you will be asked to accept before using them. That agreement will cover matters such as identity verification, custody of assets, order execution, fees and dispute handling.

6. Live market data

Prices, charts, 24-hour statistics, order books and recent trades shown on the Website are live market data that your browser loads directly from Binance's public market-data API. Zenvorika does not operate, control or verify that data source. Please keep the following in mind:

Market data is provided for information only. It is not investment advice, not a recommendation and not an offer by Zenvorika to buy or sell any asset at the prices shown.
The data may be delayed, interrupted, incomplete or inaccurate, and may stop updating without notice. It may also differ from prices on other venues or on a future Zenvorika market.
We give no warranty about the accuracy, timeliness or availability of market data, and you rely on it at your own risk.
Your use of the data provider's service through your browser may also be subject to that provider's own terms and privacy practices, as described in our Privacy Policy.

7. The practice account

The trading terminal at /trade/ includes a practice account so you can explore how the Zenvorika interface works. It starts with 10,000 virtual USDT. If you are signed in, your practice balance and orders are saved to your account; if you are not, they are kept only in your browser and are reset when you reload the page. When using it, please keep the following in mind:

Orders placed in the practice account fill against live public prices, but no real assets are bought or sold. Real orders on a live exchange may be partially filled, filled at a different price, or not filled at all.
Virtual balances have no monetary value, cannot be withdrawn or exchanged, and are not a promise of any future credit, bonus or allocation.
We may reset practice balances or clear practice history, for example after maintenance or changes to the terminal, and practice data is deleted when your account is deleted.
Results you achieve in the practice account say nothing about results you would achieve with real assets. Trading real digital assets carries a risk of losing all the money you commit, as explained in our Risk Disclosure.

You may use the practice account for personal, non-commercial exploration. You must not present practice results as evidence of trading performance, or represent virtual balances as having any value.

8. Prohibited use

You agree not to use the Website, or attempt to use it, in any way that:

breaches any applicable law or regulation, or facilitates fraud, money laundering, terrorist financing, sanctions evasion or any other unlawful activity;
impersonates Zenvorika, our staff or any other person, or falsely suggests an affiliation with us;
uses Zenvorika's name, branding or screenshots of the trading terminal or practice account to promote investment schemes, to solicit funds, or to mislead others about the status of our service;
interferes with, disrupts or places an unreasonable load on the Website or the infrastructure that hosts it, including through denial-of-service attacks, flooding or automated requests at excessive rates;
attempts to gain unauthorised access to any part of the Website, our systems or any data, or probes, scans or tests the vulnerability of our systems without our written permission;
introduces viruses, malicious code or any other harmful material;
scrapes, copies or harvests content from the Website by automated means for commercial use, or to build a competing product or dataset;
reverse engineers, decompiles or otherwise attempts to extract the source logic of the trading terminal, except to the extent that law expressly permits this; or
frames or mirrors any part of the Website without our prior written consent.

If you believe you have found a security vulnerability, please report it to us at legal@zenvorika.com rather than testing it further. We appreciate responsible disclosure.

9. No advice

All content on the Website, including market pages, articles, glossaries, fee descriptions, market data and anything shown in the trading terminal, is provided for general information only. It is not investment, financial, legal, tax or accounting advice, and it is not a recommendation to buy, sell or hold any digital asset or to adopt any trading strategy.

We do not take into account your personal circumstances, objectives or financial situation. Before making any decision involving digital assets you should carry out your own research and, where appropriate, seek advice from a suitably qualified independent adviser. Any decision you make is yours alone.

10. Fees

Using the Website, your account and the practice account is free of charge. Our intended fee structure for real-money trading is published on the Fees page. That page describes planned fees for information only; they may change, and the fees that apply to any future real-money service will be those stated in the user agreement and fee schedule in force when a transaction takes place. Any fees shown in the practice account are calculated on virtual balances only and are never charged.

11. Intellectual property

The Website and its content, including text, graphics, logos, icons, the design and layout of the interface, the trading terminal and its underlying software, are owned by or licensed to Zenvorika and are protected by intellectual property laws. The name "Zenvorika" and the Zenvorika logo are our trade marks.

We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and view the Website for your own non-commercial use. You may print or save a copy of individual pages for your personal reference. You must not otherwise reproduce, modify, distribute, publicly display, sell or create derivative works from any part of the Website without our prior written permission.

Names and symbols of third-party digital assets and projects that appear on the Website belong to their respective owners. Their appearance does not imply any endorsement of, partnership with or listing commitment for those assets or projects.

12. Third-party links and services

The Website may contain links to websites or resources operated by others, and relies on some third-party services to function, such as the web font provider and the market-data provider described in our Cookie Policy. We do not control third-party websites and are not responsible for their content, availability or privacy practices. A link does not mean we endorse the linked site. Your use of any third-party website is governed by that site's own terms.

13. Disclaimers

The Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no representations or warranties of any kind, whether express or implied, about the Website or its content, including any warranty of accuracy, completeness, reliability, fitness for a particular purpose, non-infringement or uninterrupted availability.

In particular, and without limiting the general statement above:

we do not warrant that any information on the Website, including asset descriptions and market pages, is accurate, complete or up to date;
we do not warrant that third-party market data shown on the Website is accurate, timely or continuously available;
we do not warrant that the Website will be free of errors, viruses or other harmful components, or that defects will be corrected; and
we do not warrant that real-money trading or any other future feature will be offered on any particular date, in any particular form, or at all.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.

14. Limitation of liability

To the fullest extent permitted by law, Zenvorika and its directors, employees, contractors and agents will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:

any loss of profits, revenue, business, opportunity, goodwill or anticipated savings;
any loss arising from a decision you make in reliance on content from the Website or on market data or results in the practice account;
any loss or corruption of data, including practice account balances or locally stored preferences;
any loss caused by the unavailability, suspension or withdrawal of the Website; or
any indirect, incidental, special or consequential loss,

even if we have been advised that such loss was possible. Because the Website and accounts are provided free of charge and involve no real funds, our total aggregate liability to you arising out of or in connection with your use of the Website will be limited to the minimum amount permitted by the law that applies to you.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the law that applies.

15. Indemnity

To the extent permitted by law, you agree to compensate Zenvorika for any reasonable losses, costs and expenses, including reasonable legal fees, that we incur as a result of your breach of these Terms or your misuse of the Website, including any claim brought by a third party arising from such breach or misuse.

16. Suspension and withdrawal

We may suspend, restrict or withdraw all or any part of the Website, including the trading terminal, the practice account, accounts and the waitlist, at any time and without notice, for example for maintenance, security reasons, changes to our product plans, or if we reasonably believe you have breached these Terms. We may also block access from particular networks or devices where we detect abusive activity.

We are not obliged to keep the Website available, and we will not be liable to you if it is unavailable for any period. Sections of these Terms which by their nature are intended to continue, such as those on intellectual property, disclaimers, limitation of liability and indemnity, will continue to apply after your use of the Website ends.

17. Governing law and disputes

If you have a concern about the Website or your account, we encourage you to contact us first at legal@zenvorika.com so that we can try to resolve any concern informally. Nothing in this section removes any right you may have under mandatory consumer protection rules where you live.

18. General

Entire agreement. These Terms, together with the policies referred to in them, form the entire agreement between you and us about your use of the Website and your account.
Severability. If any part of these Terms is found to be invalid or unenforceable, that part will be limited or removed to the minimum extent necessary and the remainder will continue in effect.
No waiver. If we delay or do not enforce any right under these Terms, that does not mean we have waived it.
Assignment. You may not transfer your rights under these Terms. We may transfer our rights and obligations to another organisation, for example as part of a reorganisation, and will update the Website if we do.
Language. These Terms are written in English. If we provide a translation, the English version prevails in case of any inconsistency.

19. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the Website, in our product plans or in legal requirements. Where we make changes, we will change the "Last updated" date at the top of this page and, where the change is significant, highlight it on the Website. The version published on this page applies to your use of the Website from the date it is posted. Where a change is significant, we will also notify account holders by email. Please check this page periodically; continuing to use the Website or your account after a change means you accept the updated Terms.
